Annual Minutes

Annual Minutes are a written record of your corporation's yearly director and officer elections. California corporations are required by law to hold Annual Meetings and maintain proper minutes. It's a key part of preserving the corporate veil that protects your personal assets.

We prepare standard, regular (annual) minutes for the election of directors and officers in the ordinary course of business. We do not prepare special minutes for extraordinary matters like major asset sales, mergers, or significant debt issuances. Contact us if your situation requires something beyond the standard scope.
Corporate Formation & Corporate Dissolution

(i) Preparation and filing of your Articles of Incorporation or Articles of Organization with the California Secretary of State; (ii) filing your Initial Statement of Information; (iii) preparing your EIN application; and (iv) filing all other required notices.
Formation includes Registered Agent, Annual Minutes, and SOI tracking services, completely free for one year.

No. Customized Operating Agreements, Bylaws, and tax elections like S-Corp status are outside the scope of this service and require attorney or CPA guidance. Contact us if you need a referral.

We prepare and file your Certificate of Cancellation (LLC) or Articles of Dissolution (Corporation) based on a unanimous vote in favor of dissolution. If you can add us as an authorized user on your bizfile.ca.gov account, we file online immediately. Otherwise, we prepare your documents for your signature and provide mailing instructions.

Yes, and they're important. Dissolution does not resolve outstanding franchise tax obligations or unfiled returns. We strongly recommend consulting your CPA and attorney before proceeding.

FBN / DBA Registration

A Fictitious Business Name (or "Doing Business As") is a name your business uses that differs from its legal registered name. This includes your personal name, if you’re operating a Sole Proprietorship. Any California business operating under a name other than its official name must file an FBN Statement with the county recorder where its principal place of business is located.

No. FBN Statements are county-specific. If you operate in multiple counties, separate filings may be required. We handle San Diego County in-house, including same-day expedited filing for an additional fee. For other California counties, we'll confirm all the requirements before filing.
